Our Relationship with Fullerfield Capital

 

Fullerfield Foundation operates in a brother-sister structure with Fullerfield Capital LLC, a related but separate entity. We believe in complete transparency about this relationship and how our organizations work together to support regenerative food and agriculture in the Northeast.

 

Two Organizations, One Mission

 

Fullerfield Foundation Inc. is a 501(c)(3) nonprofit organization dedicated to building the capacity of regenerative food and agriculture businesses through technical assistance, education, and grant programs.

​

Fullerfield Capital LLC is a $50 million impact investment company providing specialty debt financing to regenerative food and agriculture businesses across the Northeast.

 

While legally separate entities with distinct governance structures, both organizations share a common mission: accelerating the transition to regenerative agriculture systems that restore soil health, revitalize local economies, and build resilient regional food systems.

 

Why This Structure?

 

The regenerative agriculture sector faces a dual challenge:


Access to Capital: Many regenerative farms and food businesses are creditworthy but underserved by traditional lenders who don't understand the sector. They need patient, flexible financing structures.

Access to Expertise: Beyond capital, these businesses often need technical assistance in areas like financial management, operations, market access, and succession planning to reach their full potential.

Our brother-sister structure allows us to address both needs:

​

  • Fullerfield Capital provides debt financing with terms designed for agricultural cash flows and regenerative business models

  • Fullerfield Foundation provides grants and technical assistance to build business capacity, often serving businesses that aren't yet investment-ready or need support beyond what capital alone can provide

 

This integrated approach creates a more complete ecosystem of support than either organization could provide alone.

 

Governance and Independence

 

Each organization maintains separate governance:

  • Separate Boards: Each entity has its own board of directors responsible for oversight and strategic direction

  • Separate Finances: The Foundation and Capital maintain completely separate financial accounts and operations

  • Clear Boundaries: Investment decisions by Fullerfield Capital are made independently based on credit criteria. Grant decisions by Fullerfield Foundation are made independently based on mission impact and programmatic priorities

 

Shared Leadership: Charles Wade serves as Managing Partner of Fullerfield Capital and leads the Fullerfield Foundation. This shared leadership ensures mission alignment while maintaining appropriate organizational boundaries.

 

How We Work Together

 

Referral Pathways: When Fullerfield Capital encounters creditworthy businesses that need technical assistance, we may refer them to Foundation programs. When the Foundation works with businesses that become investment-ready, we may refer them to Capital's financing programs.

 

Shared Market Knowledge: Both organizations benefit from deep expertise in regenerative agriculture and the Northeast food system, allowing us to better serve the sector.

 

No Quid Pro Quo: Receiving support from one organization does not guarantee or require engagement with the other. Each relationship is evaluated on its own merits.

 

Commitment to Transparency

 

We are committed to operating with the highest standards of transparency and accountability:

  • All Foundation grants and programs are reported in our annual reports

  • Fullerfield Capital operates under established impact investing standards and reports impact metrics to its investors

  • Any potential conflicts of interest are disclosed and managed according to each organization's conflict of interest policies

  • Both organizations welcome questions about our structure, operations, and relationship
